By-Laws

ARTICLE I – NAME
1.01  The name of this organization shall be Ward Parkway Homes Association, Inc. hereinafter referred to as the Association.

ARTICLE II – PRINCIPAL OFFICE
2.01  The principal office of the Association shall be the Post office box set up for the organization.

ARTICLE III – MEMBERSHIP
3.01  The membership of the Association shall be limited to owners/renters residing in the area encompassing the South side of Gregory Boulevard, the East Side of State Line, the North Side of Seventy Fifth Street and the East Side of Washington, or areas that may be extended.

3.02  Payment of the annual Association dues will be the requirement for membership.

3.03  The Association’s annual dues may be paid by the owner of the residence or by the occupant if the occupant is not the property owner. The dues paying party shall hold the membership.

3.04  Dues increases must be approved by the membership at the annual meeting.

3.05  Dues for membership in the Association shall be $30.00 per residence, $25.00 for seniors. Changes in the dues are made by the board annually, if desired, to coincide with the Association’s fiscal year.

3.06  Membership in this Association shall be nontransferable, except on transfer of legal title to the lot, and then only when such transfer is made on the books or records of the Association with the consent by resolution of the Board of Directors.

3.07  Membership voting rights are limited to one vote per residence.

ARTICLE IV – PURPOSES
4.01  The purpose of the Association is for the general good and betterment of the neighborhood.

4.02  The Association expects its residents to keep their property within the bounds of the Codes and Ordinances of the City of Kansas City, Missouri.

4.03  The Association provides a mechanism for the membership to meet their neighbors through various social activities sponsored by the Association.

ARTICLE V – MEETINGS
5.01  The annual meeting of the members of the Association for the election of Directors and for the transaction of such other business as may come before the meeting shall be held in Kansas City, Missouri, or at such other place as may be designated by the Board of Directors. The meeting shall be called by notice in writing mailed at least ten days prior to the date of the meeting to each member at the last known place of residence or business. If a change of address has been given to the Secretary of the Association, in which case such notice, shall be sent to the address so given.

5.02  Special meetings of the members shall be called in like manner after a five day notice.

5.03  At any meeting of the members (including monthly board meetings), it will be necessary for a simple majority of those present to vote for any director, resolution or proposition before the same may be declared elected or adopted, except as otherwise provided in these Bylaws.

5.04  Meetings of the Board of Directors shall be held monthly. A simple majority of the Board of Directors shall constitute a quorum to transact business and any matters coming before the monthly meeting.

5.05  The President or any two of the Directors may call a special meeting of the Directors at any time and notice shall be given of such called meeting by depositing in the United Stated Post Office, a written or printed notice thereof, with postage thereon prepaid, addressed to each Director at the last address left with the Secretary, BY PHONE,EMAIL OR IN WRITING, at least two days before the time of the meeting, or by serving personally such notice on each Director one day before such meeting.

5.06  The monthly meeting of the Board of Directors shall be held at a published date and time each month except the month of December, and possibly other months depending on the amount of business to be conducted.

5.07  The Annual meeting of the Association shall be held during the month of October.

5.08  The meeting places of the Board of Directors and the Annual meetings shall be decided by the Board of Directors.

ARTICLE VI – DIRECTORS
6.01  The Directors shall conduct, manage and control the affairs and business of the Association, and shall make all necessary rules and regulations, not inconsistent with the laws of the State of Missouri, or those for guidance of officers and management of the affairs of the Association. The Board of Directors shall consist of at least 8 Directors, who shall all be members of the Association, with a simple majority constituting a quorum for the transaction of business.

6.02  They shall cause to be kept a complete record of all their minutes and acts, and of the proceedings of the members, and they shall present a complete statement at the regular meeting of the members, showing in detail all of their acts and rendering a statement of all monies collected and disbursed, and the general condition of the Association’s affairs.

6.03  They shall appoint and remove at will, all agents, servants, and employees of the Association, prescribe their duties and set any approved compensation.

6.04  The Directors shall be at-large representatives. Diligent effort will be made by the Officers of the Association to recruit Directors living in all geographic areas of the Association’s boundaries.

6.05  All directors shall be bona fide residents of the Association and members.

6.06  A slate of directors for the fiscal year will be presented for vote of the membership at the Annual Meeting. Nominations may be taken from the floor.

6.07  The term of the Officers of the Association shall coincide with the fiscal year of the Association, October 1 through September 30.

6.08  Vacancies on the Board of Directors shall be temporarily, appointed by the elected officers for the remainder of the fiscal year.

6.09  The Directors shall have and exercise such other powers and duties as set forth in these Bylaws.

ARTICLE VII – OFFICERS AND COMMITTEES
7.01  The officers of the Association shall be a President, Vice-President, Secretary and Treasurer, which officer’ shall be elected by and hold office for a period of one year. All elected officers shall be bona-fide residents of the Association.

7.02  The President shall preside over all membership meetings and all Board of Directors meetings and perform such other duties as are usually performed by the President, or as may be conferred by the Board of Directors. The President’s authority shall at all times be subject to the control and direction of the Board of Directors.

7.03  The Vice-President shall have all of the powers and perform all of the duties in the absence of the President.

7.04  The Secretary shall keep a record of the proceedings of the Board of Directors, Annual and Special Meetings. It shall also be the duty of the Secretary (with the help of the membership committee) to send out dues notices to the membership. The Secretary shall send out all notices of Board of Directors, Annual and special meetings.

7.05  The Treasurer shall be responsible for the financial matters of the Association, including the keeping records and the receipt and distribution of funds. All monies will be deposited in such financial institutions as approved by the Board of Directors.

7.06  Books of the Association shall be audited at the beginning of the fiscal year by two members of the Board of Directors, either the incoming or outgoing board president, and one other board member plus the treasurer should be in attendance.

7.07  Any expenditure that is not a current budget item or exceeds an existing budget item must be submitted in writing or in person and be approved by the Board of Directors.

7.08  All correspondence should be brought to the attention of the President via a courtesy copy.

7.09  Board members’ responsibilities shall be to:
1.  Bring positive ideas, dedication and enthusiasm to the Board.
2.  Regularly attend Board meetings for a minimum of one year.
3.  Support and attend special events sponsored by the Association.
4.  Support Board Committees through leadership and participation.
5.  Involve their neighbors in Association activities.
6.  Build on the strengths and ideas of other Board members.
7.  Recruit new Association members.
8.  Contribute time, articles and information to the publication of the Association’s Newsletter.
9.  Be an ambassador for our neighborhood to all of Kansas City.
10.  Assist in association-wide canvassing or distribution of materials.
11.  View their tenure on the Board as an opportunity to improve the quality of life for the homes in the Association.

ARTICLE VIII – COMMITTEES
8.01  The permanent committees of the Association shall be:

  • Special Events – coordinates the social activities of the Association.
  • Communications – Publicizes the activities of the Association through various media and prepares and publishes the newsletters
  • Beautification  – Is concerned with the appearance of the neighborhood through the Home of the Month program, island maintenance, shrub and tree plantings, etc.
  • Historian – Researches the history of the Neighborhood and publishes articles, photos etc.
  • Membership – Dedicated to increasing the number of dues-paying members and fostering the involvement of members in Association activities.

8.02  Other ad hoc or permanent committees may be appointed by the President.

8.03  Committee members need not be a member of the Board of Directors, but must be a paid member of the Homes Association.

ARTICLE IX – VOTING
9.01  A simple majority of the Directors shall constitute a quorum to transact business at a monthly meeting. Any matters coming before the board shall be decided by a simple majority vote of those board members present at this meeting.

9.02  In the absence of a quorum, if time is critical and little discussion or money is required, votes may be taken via email from the directors’ registered email address.

9.03  At any annual meeting of the Association, any matters coming before the meeting shall be decided by a simple majority vote of those present at the meeting.  No proxy or absentee ballot will be allowed. All votes of the Association must be made in person.

9.04  The latest revision of Robert’s Rules of Order shall govern the deliberations of the Association.

ARTICLE X – BYLAWS, AMENDMENTS AND ADDENDUMS
10.01  A copy of these Bylaws shall be available to each Director of the Association.

10.02  A copy of these Bylaws shall be available to each Association member via the website.

10.03  These Bylaws may be amended at any meeting of the association by a simple majority of the members present.
